Anbieter des Innovationssponsoring-Programms („Programm“) ist die dentognostics GmbH, Ober der Mühle 39, 42699 Solingen (im Folgenden „Anbieter“).
2.1. Teilnahmeberechtigt sind ausschließlich:
- in Deutschland zugelassene Zahnärztinnen und Zahnärzte,
- zahnärztliche Berufsausübungsgemeinschaften / MVZ mit zahnärztlicher Leitung,
- deren autorisierte Praxisvertreterinnen und -vertreter.
2.2. Die Teilnahme ist auf beruflich handelnde Fachkreise beschränkt. Eine Teilnahme durch Privatpersonen, Patienten oder sonstige Nicht-Fachkreise ist ausgeschlossen.
2.3. Der Anbieter behält sich vor, die Teilnahme aus sachlichen Gründen (z. B. begrenzte Kontingente, regionale Verfügbarkeit, Plausibilität der Angaben) abzulehnen.
Im Rahmen des Programms werden folgende Leistungen gewährt.
3.1. Unentgeltliche Leihstellung ORALyzer Expert
- Bereitstellung eines ORALyzer Expert Systems zur unentgeltlichen Leihstellung für maximal 12 Wochen (Pilotphase).
- Die Leihstellung dient ausschließlich der praxisinternen Erprobung des Systems im Rahmen präventionsorientierter Diagnostik.
- Das Gerät bleibt durchgängig Eigentum der dentognostics GmbH.
- Nach Ablauf der Pilotphase ist das Gerät in funktionsfähigem, gewöhnlich gebrauchten Zustand entsprechend den Anweisungen des Anbieters zurückzugeben, sofern kein entgeltlicher Kauf- oder Mietvertrag abgeschlossen wird.
3.2. Produktspezifische Teamschulung
- Einmalige, kostenfreie produktspezifische Schulung (online oder in der Praxis bzw. an einem geeigneten Ort) zur sachgerechten Anwendung des ORALyzer Systems und zur Integration in bestehende Praxisabläufe.
- Inhalt der Schulung: Gerätehandhabung, Testdurchführung, Auswertung, Dokumentation, praxisorganisatorische Integration im Zusammenhang mit präventiver Diagnostik.
- Die Schulung ist sachbezogen und dient der sicheren, fachgerechten Nutzung des Systems; ein Freizeit-, Luxus- oder Unterhaltungscharakter ist ausgeschlossen.
3.3. Sonderkonditionen auf Testkits während der Leihphase
- Für die Dauer der Leihstellung können zeitlich befristete, einheitliche Sonderkonditionen auf ausgewählte Testkits gewährt werden.
- Die Sonderkonditionen gelten ausschließlich für die Pilotphase (max. 12 Wochen), zu transparent kommunizierten, einheitlichen Konditionen, ohne individuelle Sonderabreden, die über dieses Programm hinausgehen.
- Nach Ablauf der Pilotphase gelten ausschließlich die regulären, allgemein angebotenen Konditionen.
4.1. Das Programm ist so ausgestaltet, dass keine unzulässigen Zuwendungen im Sinne des § 7 HWG gewährt werden. Insbesondere gilt:
- Es erfolgt keine Eigentumsübertragung des ORALyzer Expert im Rahmen des Innovationssponsorings.
- Die Leihstellung ist befristet, zweckgebunden und dient ausschließlich der sachlichen Evaluierung.
- Die Teamschulung dient ausschließlich der sachgerechten, sicheren Anwendung des Systems.
- Die Sonderkonditionen stellen zulässige, unmittelbar wirkende Preisnachlässe für die während der Pilotphase bezogenen Tests dar, ohne zusätzliche Sachzugaben.
4.2. Es findet keine Kopplung der Teilnahme oder der gewährten Vorteile an bestimmte Verordnungs- oder Empfehlungsmengen, bestimmte Bezugsvolumina über die Pilotphase hinaus, eine bevorzugte Verordnung gegenüber konkurrierenden Produkten oder den Abschluss langfristiger Lieferverträge statt.
4.3. Die teilnehmende Praxis bleibt in ihrer medizinischen Entscheidung und Therapiehoheit vollständig frei und unabhängig. Eine Verpflichtung zur Nutzung, Empfehlung oder Verordnung des ORALyzer Systems über die Pilotphase hinaus besteht nicht.
5.1. Sorgfältiger Umgang mit dem zur Verfügung gestellten Gerät entsprechend den Nutzungs- und Sicherheitsanweisungen des Anbieters.
5.2. Unverzügliche Meldung von Defekten, Störungen oder sicherheitsrelevanten Ereignissen.
5.3. Keine Weitergabe, Vermietung oder sonstige Überlassung des Gerätes an Dritte ohne vorherige schriftliche Zustimmung des Anbieters.
5.4. Wahrheitsgemäße Angaben bei der Anmeldung und Programmdurchführung.
6.1. Die individuelle Programmlaufzeit beginnt mit dem im Leihvertrag / Übergabeprotokoll angegebenen Datum und endet spätestens nach 12 Wochen.
6.2. Der Anbieter ist berechtigt, das Programm aus wichtigem Grund (z. B. Verstoß gegen diese Teilnahmebedingungen, Missbrauch, Sicherheitsbedenken) mit sofortiger Wirkung zu beenden und die Rückgabe des Gerätes zu verlangen.
6.3. Spätestens mit Ende der Pilotphase ist der ORALyzer Expert entsprechend den Rückgabeanweisungen des Anbieters zurückzusenden bzw. zu übergeben, sofern nicht ein gesonderter entgeltlicher Vertrag geschlossen wird.
Die teilnehmende Praxis haftet für Schäden am Gerät, die durch unsachgemäße oder vertragswidrige Nutzung entstehen, sofern sie von ihr zu vertreten sind.
Die im Rahmen der Anmeldung und Durchführung des Programms erhobenen personenbezogenen Daten werden ausschließlich zur Abwicklung des Programms, zur Kommunikation mit den Teilnehmern und zur Erfüllung gesetzlicher Pflichten verwendet. Der Anbieter behält sich vor, das Programm aus sachlichen Gründen (z. B. rechtliche Änderungen, technische Anpassungen, Kapazitäten) anzupassen oder vorzeitig zu beenden. Änderungen werden rechtzeitig und transparent auf der Programmseite bzw. gegenüber bereits teilnehmenden Praxen mitgeteilt. Bereits begründete Ansprüche aus laufenden Pilotphasen bleiben unberührt, sofern keine wichtigen Gründe entgegenstehen.
10.1. Es gilt das Recht der Bundesrepublik Deutschland.
10.2. Sofern es sich bei der teilnehmenden Praxis um einen Kaufmann im Sinne des HGB handelt, ist Gerichtsstand der Sitz des Anbieters.
10.3. Sollten einzelne Bestimmungen dieser Teilnahmebedingungen unwirksam sein oder werden, bleibt die Wirksamkeit der übrigen Bestimmungen unberührt. An die Stelle der unwirksamen Bestimmung tritt diejenige wirksame Regelung, die dem wirtschaftlichen Zweck der unwirksamen Bestimmung am nächsten kommt.
